Heard Banking: Account Opening Promotion Terms

Effective Date: June 9, 2026
Promotion Period: Monday, June 9, 2026, 12:00 am Pacific Time through Tuesday, July 7, 2026, 11:59 p.m. Pacific Time
Sponsor: {Heard Technologies, Inc.} or its applicable affiliate (“Heard”)
Banking Services: Banking services are provided by i3 Bank, Member FDIC.
Platform Provider: Unit Finance Inc. (“Unit”)

Unit and Heard are not a bank and do not provide FDIC insurance.

1. Promotion Overview

Subject to these Account Opening Promotion Terms (“Terms”), eligible Heard customers may receive a one-time $150 promotional reward (“Reward”) after opening an eligible Heard business deposit account held at i3 Bank and completing the required Qualifying Transactions (as defined below) within the required timeframe (“Promotion”).


This Promotion is offered by Heard and is not an i3 Bank-funded interest promotion, deposit account reward, or bank-sponsored incentive. i3 Bank does not fund the Reward and does not absorb the cost of the promotion. The Reward is subject to these Terms, the applicable account terms, and any additional disclosures provided in connection with the Promotion.

2. Eligibility

To be eligible for the Promotion, you must:

  1. be an active Heard customer in good standing at the time of account application and through the Reward disbursement date;
  2. apply for a Heard business deposit account through the Heard platform by Tuesday, July 7, 2026, at 11:59 p.m. Pacific Time;
  3. be approved for and open the Heard business deposit account and complete any required identity verification or account verification requirements;
  4. complete the required Qualifying Transactions within 60 days after account approval (“Qualifying Period”); and
  5. maintain your Heard business deposit account open and in good standing through the Reward disbursement date.

For purposes of these Terms, "good standing" means your account is not frozen, restricted, suspended, under investigation for fraud or suspicious activity, subject to a hold or block, or in violation of the applicable account terms, i3 Bank policies, or applicable law.

This Promotion is available across all eligible Heard subscription tiers. The reward amount is the same for all eligible subscription tiers. Only customers who satisfy all eligibility requirements and are not otherwise disqualified under these Terms may receive the Reward.

3. Business-Purpose Account Requirement

The Heard business deposit account is available only for business purposes. The account is not intended for personal, family, or household use.

By participating in this Promotion, you acknowledge that the account is a business-purpose account and that Qualifying Transactions must be conducted in connection with your business activities. Consumer-purpose protections, including Regulation E protections applicable to consumer accounts, may not apply. Use of the account for personal, family, or household purposes may result in disqualification from the Promotion and may constitute a violation of the applicable account terms.

4. Promotion Period

Monday, June 9, 2026, 12:00 a.m. Pacific Time through Tuesday, July 7, 2026, 11:59 p.m. Pacific Time. For purposes of this Promotion, “Pacific Time” means the time observed in Los Angeles, California, including any applicable daylight-saving time.

To qualify, you must submit your Heard business deposit account application before the end of the Promotion Period. If you submit your application before the deadline but your account is approved after the end of the Promotion Period, your 60-day Qualifying Period will begin on the date your account is approved. 
‍

Submitting an application does not guarantee account approval or eligibility for the Reward.

5. Qualifying Transaction Requirement

To receive the Reward, you must complete five (5) Qualifying Transactions within 60 days after your Heard business deposit account is approved.
‍

For purposes of this Promotion, a “Qualifying Transaction” means a debit-card (virtual or physical) purchase made with an i3 Bank-issued debit card linked to your Heard business deposit account, initiated during the Qualifying Period, and subsequently cleared.
‍

Transactions must be initiated within the Qualifying Period. However, a transaction may clear after the Qualifying Period and still count, provided it was initiated within the Qualifying Period and is not later reversed, returned, canceled, denied, failed, refunded, or otherwise invalidated.
‍

The following transactions do not count as Qualifying Transactions:

  1. transactions that are canceled, denied, failed, reversed, returned, refunded, disputed, charged back, or otherwise invalidated;
  2. transactions that do not clear and post to your account;
  3. transfers between Heard accounts or internal transfers within the same account;
  4. ATM withdrawals, cash advances, balance inquiries, fees, adjustments, credits, reversals, or other non-purchase transactions;
  5. transactions determined by Heard, Unit, or i3 Bank to be fraudulent, abusive, artificial, structured to artificially inflate transaction count, or inconsistent with the purpose of the Promotion; and
  6. transactions below the minimum qualifying amount, if applicable. 

6. Reward Amount

Upon completion of all eligibility criteria in Sections 2 and 5, eligible customers will receive a one-time Reward in the amount of USD $150 (one hundred fifty dollars).
‍

Only one Reward is available per eligible Heard business deposit account and per eligible customer. Heard, Unit, and i3 Bank reserve the right to deny duplicate, fraudulent, abusive, or otherwise improper attempts to obtain multiple Rewards.
‍

The Reward is personal to the eligible customer and may not be transferred, assigned, sold, substituted, or redeemed for any alternative benefit.

7. Reward Payment Timing

The Reward will be paid only after:

  1. your Heard business deposit account has been approved and opened;
  2. you have initiated five (5) Qualifying Transactions within the Qualifying Period;
  3. the fifth Qualifying Transaction has cleared and posted to your account;
  4. your account remains open and in good standing; and
  5. Heard and Unit have completed the applicable verification process.

Rewards will be paid at the end of the month in which the fifth Qualifying Transaction clears on or before the monthly cutoff date of the 25th of such month.
‍

For operational purposes, if the fifth Qualifying Transaction clears after the applicable monthly cutoff date, the Reward may be paid at the end of the following month.
‍

Example: If the fifth Qualifying Transaction clears on or before June 25, the Reward may be paid at the end of June. If the fifth Qualifying Transaction clears after June 25, the Reward may be paid at the end of July.

8. Forfeiture and Disqualification

You will not receive the Reward if:

  1. your account is not approved;
  2. you close your account before the Reward is paid;
  3. your account is closed, restricted, frozen, or placed under investigation due to suspected fraud, misuse, violation of account terms, BSA/AML concerns, sanctions screening, or other compliance concerns;
  4. you fail to initiate the required five Qualifying Transactions within the 60-day Qualifying Period;
  5. one or more of your Qualifying Transactions are canceled, failed, denied, refunded, returned, reversed, disputed, charged back, or otherwise invalidated before Reward credit, such that you no longer have five cleared Qualifying Transactions;
  6. you use the account for personal, family, or household purposes in violation of the applicable account terms;
  7. Heard, Unit, or i3 Bank determines, in its sole discretion, that you attempted to abuse, manipulate, or circumvent the Promotion; or
  8. you are not in good standing as a Heard customer at any time between account application and Reward disbursement.

Heard, Unit, and i3 Bank may also deny or withhold the Reward if required by law, regulation, card network rules, bank policy, compliance requirements, sanctions screening, fraud monitoring, or other risk-management considerations.

9. Tax Reporting

The Reward may be reportable as taxable income. You are responsible for any federal, state, and local taxes associated with the Reward. Neither Heard, Unit, nor i3 Bank provides tax advice. Please consult your tax advisor regarding your specific tax situation.

10. No Bank-Funded Interest Promotion

This Promotion is offered by Heard and is not an i3 Bank-funded interest promotion. The Reward is not offered as interest paid by i3 Bank and is not intended to modify the terms of any i3 Bank-held deposit account. Banking services are provided by i3 Bank, Member FDIC. The Reward is a promotional incentive provided by Heard as a marketing expense.

i3 Bank is not responsible for funding, sponsoring, or administering the Promotion, except in its role as the provider of banking services for the applicable deposit account. Any questions about the Promotion should be directed to Heard, not i3 Bank.

11. Changes, Suspension, or Termination

Heard reserves the right to modify, suspend, or terminate this Promotion at any time, at its sole discretion, subject to applicable law and any required approvals. However, if you have already opened a Heard business deposit account and commenced performance toward earning the Reward (i.e., initiated at least one Qualifying Transaction), any modification to these Terms will not retroactively disqualify you from earning the Reward based on actions completed before the modification, provided you otherwise satisfy all eligibility requirements as of the modification date. This protection does not apply if your account is closed, restricted, or disqualified due to fraud, abuse, or a violation of account terms.

12. Errors and Corrections

Heard and Unit reserve the right to correct errors, including Reward calculation errors, eligibility errors, duplicate payments, or payments made to ineligible customers. If a Reward is paid in error, or if, for any reason, any Qualifying Transaction is later reversed, returned, canceled, denied, failed, refunded, disputed, charged back, or otherwise invalidated, Heard or Unit may reverse the Reward or take other corrective action, subject to applicable law and account terms. You will be notified before any Reward reversal is processed, except where prohibited by law or where the reversal is required due to fraud, suspected fraud, or compliance concerns.

Corrective action may include withholding a pending Reward, reversing a Reward credited in error, offsetting future amounts where permitted, or disqualifying the customer from the Promotion.

13. Relationship to Account Terms

These Terms supplement, and do not replace, the applicable Heard account terms, i3 Bank deposit account terms, Unit platform terms, cardholder terms, privacy policies, and any other applicable agreements or disclosures.

In the event of a conflict between these Terms and the applicable bank account terms, the bank account terms will control with respect to the operation and use of the deposit account.

In the event of a conflict between these Terms and any marketing, advertising, or promotional materials, these Terms will control with respect to Promotion eligibility, qualification, disqualification, Reward amount, and Reward credit timing.
